1. Overview of Services
TalentFlow Africa provides specialized enterprise services across two primary divisions:
- AI Consulting & Advisory: Operational diagnostics, AI Opportunity Mapping, enterprise system architectures, custom agent workflows, RAG implementations, and executive counsel.
- TAFA Academy: Cohort-based educational training, hands-on software labs, executive masterclasses, and digital learning programs in artificial intelligence and modern cloud technologies.
2. Nature of AI Systems & No Warranty of Financial ROI
All case study metrics, efficiency benchmarks, and ROI examples cited across our marketing materials reflect historical client results or specific pilot conditions. Actual enterprise outcomes depend heavily on client data cleanliness, internal system integration, third-party model performance, and organizational adoption.
3. Enterprise Consulting Engagements & SOWs
Formal AI implementation sprints, custom deployments, and retainer arrangements are governed by an executed Master Services Agreement (MSA) and Statement of Work (SOW), which take precedence in the event of conflict with these general website terms:
- Discovery & Feasibility: Findings during initial 30-minute consultations or preliminary Growth Audits are advisory opinions and do not guarantee technical feasibility until formal data validation is completed.
- Upstream Model & Vendor Dependencies: TAFA builds on leading foundation model architectures (such as OpenAI, Anthropic, Google Cloud Vertex AI, and AWS Bedrock). TAFA is not liable for upstream vendor API outages, price adjustments, token rate limits, model deprecations, or latency fluctuations outside our direct control.
- Mandatory Human Oversight: Enterprise clients retain final accountability for verifying, validating, and approving all AI-generated outputs, automated decisions, client communications, and algorithmic scoring produced by deployed systems.
4. TAFA Academy Enrolment, Attendance & Refunds
A. Fees & Payment Processing
Academy tuition fees are stated in US Dollars (or local equivalent currency) and processed through our verified gateway partner (Paystack). Full payment or approved corporate invoicing is required prior to cohort commencement.
B. Refund & Deferral Policy
- Cohort Cancellation & Refunds: Learners or organizations may request a full refund up to 7 calendar days before the first scheduled live session of a cohort. Due to limited seat capacities, no refunds are issued after cohort onboarding has commenced.
- Cohort Deferrals: If unforeseen professional commitments arise, a learner may request in writing to defer their enrolment to the immediately subsequent cohort, subject to seat availability and administrative approval.
C. Certification Standards
TAFA Academy Verified Certificates are awarded strictly upon fulfilling attendance minimums, completing practical milestone exercises, and successfully presenting the course capstone project. Enrolment alone does not guarantee certification.
5. Intellectual Property Rights
- Client Proprietary Data & Work Product: In consulting engagements, the client retains sole ownership of all proprietary business data, confidential records, and custom software code delivered specifically for their operational use under an executed SOW.
- TAFA Retained Assets: TAFA retains exclusive intellectual property rights to our pre-existing methodologies, proprietary frameworks (including the 4D Delivery Framework), curriculum materials, training slides, diagnostic assessment algorithms, and general reusable code templates.
6. Acceptable Use of Website & Diagnostic Tools
You agree not to misuse our website or interactive tools. Prohibited activities include:
- Attempting to reverse-engineer, decompile, or extract the underlying logic of our diagnostic self-checks or course preview systems.
- Automated scraping, harvesting, or indexing of TAFA Insights articles, reports, or syllabi without express written consent.
- Submitting fraudulent, misleading, or defamatory information through our consultation and lead capture forms.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall TalentFlow Africa, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of business profits, data corruption, or operational downtime) arising out of or related to your use of our website, educational content, or advisory services. TAFA's cumulative liability shall not exceed the total fees paid by you to TAFA for the specific service giving rise to the claim in the preceding 6-month period.
8. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any dispute that cannot be resolved amicably within thirty (30) days shall be submitted to binding commercial arbitration in Lagos under the Arbitration and Mediation Act, conducted in the English language.
